General Terms and Conditions of GAB Productions UG
GAB Media Productions UG - Kolonnenstraße 8, 10827 Berlin. These terms and conditions ("Terms") apply to all services provided by GAB Media Productions UG.
§ 1 Scope of Application
(1) All deliveries, services, and offers provided by GAB Media Productions UG are exclusively based on these General Terms and Conditions. These terms and conditions form an integral part of all contracts concluded between GAB Media Productions UG and its contractual partners (hereinafter also referred to as "Customer") for the deliveries or services offered by GAB Media Productions UG. They also apply to all future deliveries, services, or offers to the Customer, even if not explicitly agreed upon again.
(2) The Customer's terms and conditions or those of third parties do not apply, even if GAB Media Productions UG does not expressly object to their validity in individual cases. Even if GAB Media Productions UG refers to a letter or email that contains the Customer's or a third party's terms and conditions or refers to such terms, this does not constitute acceptance of the validity of those terms and conditions.
§ 2 Services by GAB Productions UG / Customer's Cooperation
(1) GAB Media Productions UG provides individual agency services in the field of online marketing, inquiries and lead generation, and search engine optimization (SEO) for companies and merchants. Unless expressly agreed otherwise in writing, GAB Media Productions UG does not owe the Customer the provision of a work or specific result, especially not the achievement of a specific ranking within search engines.
(2) If lead and inquiry generation is agreed upon as a service between GAB Media Productions UG and the Customer, no specific quality or specific number of customer inquiries is owed.
(3) The Customer must fully and promptly fulfill all acts of cooperation that are incumbent upon them upon first request by GAB Media Productions UG. If the Customer fails to cooperate and thereby prevents the provision of services by GAB Media Productions UG, GAB Media Productions UG's entitlement to remuneration remains unaffected.
(4) The Customer must provide GAB Media Productions UG with all content required for the services of GAB Media Productions UG as soon as possible and free of charge, such as texts and images.
(5) The Customer is aware that providers such as Facebook and Google may terminate advertising campaigns at any time without giving reasons. GAB Media Productions UG is not responsible for this. GAB Media Productions UG's entitlement to remuneration remains unchanged.
(6) GAB Media Productions UG has the right to determine the nature of the services to be provided to the Customer in accordance with § 315 of the German Civil Code (BGB).
(7) If GAB Media Productions UG provides domains, landing pages, or websites as part of the customer relationship, the transfer to the Customer only applies until the end of the contract period unless otherwise agreed upon. The transfer of provided domains, landing pages, websites, and other content beyond the duration of the contract shall be deemed not agreed upon.
(8) GAB Media Productions UG is not responsible for the legality of advertising campaigns, websites, and landing pages, as well as their content, created within the customer relationship. The Customer must review them before publication and inform GAB Media Productions UG of any changes if necessary.
(9) To use the system, a device, a web browser, and a data connection are required. Although the system has been tested on various devices, browsers, and operating systems, GAB Media Productions UG cannot guarantee that it will function flawlessly on all devices and browsers. GAB Media Productions UG is not liable for disruptions to the system due to updates, technical problems, or other causes, nor for failures in telecommunications connections.
(10) GAB Media Productions UG may temporarily suspend the usability of the system to carry out maintenance and development activities. The breaks are planned in a way that causes the least inconvenience to the Customer. GAB Media Productions UG is not liable for impairments or damages due to system interruptions. GAB Media Productions UG will inform the Customer about changes or interruptions to the system in an appropriate manner. Maintenance and support are usually provided remotely during normal business hours on weekdays in the premises designated by GAB Media Productions UG. GAB Media Productions UG creates a backup copy of the data stored on the system and deletes insignificant data according to data management and the IT plan.
§ 3 Conclusion of Contracts
Upon request from GAB Media Productions UG, the Customer will receive an order confirmation to be signed. By signing the order confirmation, the contract and the General Terms and Conditions of GAB Media Productions UG provided with it shall apply.
§ 4 Payments, Prices, Conditions
(1) The prices indicated and communicated by GAB Media Productions UG are binding. The communicated prices are net prices plus applicable value-added tax.
(2) Payment for the services of GAB Media Productions UG is due immediately upon invoicing. The remuneration for the services of GAB Media Productions is generally due upon conclusion of the contract unless otherwise stated in the offer from GAB Media Productions UG.
§ 5 Default / Extraordinary Termination
(1) The Customer may terminate the contract if GAB Media Productions UG is unable to provide the services according to the present contract and the situation is not resolved within 14 days after written notification by the Customer. If the Customer has paid in advance for a service that cannot be provided due to reasons attributable to GAB Media Productions UG, GAB Media Productions UG will refund the value of the services not provided to the Customer.
§ 6 Right of Revocation
(1) There is no statutory right of revocation for entrepreneurs within the meaning of § 14 of the German Civil Code (BGB) and merchants (German Commercial Code, HGB), nor is such right granted by GAB Media Productions UG in any other way.
